Terms of Service for Eloquentia

These Terms of Service („Terms”) form a binding agreement between you („you”, „User”) and RYTH UG (haftungsbeschränkt) („we”, „us”) regarding your use of the Eloquentia mobile application and related services (together, the „Service”).

By downloading, installing, or using the Service you accept these Terms. If you do not accept, do not use the Service.

1. Eligibility

You must be at least 16 years old (or the minimum digital-consent age in your country, if lower). Minors confirm that a parent or legal guardian has reviewed and accepted these Terms on their behalf.

2. The Service

Eloquentia is a vocabulary-learning app. It lets you study words in supported languages, track your learning progress with spaced repetition, complete exercises, hear synthesized pronunciation, and back up your progress to our cloud.

We may add, change, or discontinue features at any time.

3. Account
  • You may use the App with an anonymous account (no sign-in) or by signing in with Apple.
  • You are responsible for keeping your sign-in credentials and device secure.
  • You may not impersonate another person or transfer your account.
  • We may suspend or terminate accounts that violate these Terms (see § 11).
4. License

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the App on Apple devices you own or control, solely for personal, non-commercial use, in accordance with these Terms and the Apple Media Services Terms.

You may not:

  • copy, modify, decompile, disassemble, or reverse-engineer the App (except where mandatory law expressly permits, in particular § 69e UrhG in Germany);
  • rent, lease, sublicense, sell, or distribute the App or its content;
  • circumvent paywalls, subscription gates, or security measures;
  • use the Service for unlawful, harmful, abusive, or fraudulent purposes;
  • extract or harvest vocabulary content in bulk;
  • use automated agents (bots, scrapers) without our written consent;
  • use the Service in a way that interferes with other users.
5. User content

The App lets you create custom word lists, favorites, and notes („User Content”). You retain ownership of your User Content. You grant us a worldwide, royalty-free license to host, store, transmit, and display your User Content solely for the purpose of operating the Service (e.g. cross-device synchronization).

You are responsible for the legality of your User Content.

6. Subscriptions and in-app purchases
6.1 Products and prices

We offer auto-renewing subscriptions to Eloquentia Pro via the Apple App Store. Current plans, durations, and prices are shown on the in-app purchase screen and confirmed at checkout in the App Store. Prices vary by region and currency.

6.2 Auto-renewal

Auto-renewing subscriptions renew automatically at the end of each period at the then-current price unless canceled at least 24 hours before the end of the current period. Your Apple ID is charged on confirmation of purchase. Manage and cancel subscriptions under iOS Settings → [Your Name] → Subscriptions.

6.3 Free trial

All auto-renewing subscriptions include a 7-day free trial for new subscribers, with full access to all Pro features.

  • If you do not cancel at least 24 hours before the trial ends (see § 6.2), your Apple ID is automatically charged for the first billing period at the price shown at sign-up, and the subscription continues until canceled.
  • Cancellation before the end of the trial prevents the charge; cancellation after a paid period has begun takes effect at the end of that period (no pro-rata refund).
  • Any unused portion of the trial is forfeited if you switch to a paid plan early.
  • Trial eligibility is determined by Apple per Apple ID and per subscription group; previous Eloquentia subscribers may not be eligible for a new trial.

Promotional offers are subject to their stated terms.

6.4 Price changes

We may change subscription prices. Apple will notify you and obtain your renewed consent for material increases in line with App Store rules. Continued use after the effective date constitutes acceptance.

6.5 Refunds and right of withdrawal

Refund requests are submitted to Apple at https://reportaproblem.apple.com.

Right of withdrawal for EU consumers:

You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period is 14 days from the conclusion of the contract. To exercise this right, you must inform us (RYTH UG (haftungsbeschränkt), Wiesenstraße 58C, 64331 Weiterstadt, email: kontakt@ryth-ug.de) by means of an unequivocal statement of your decision.

Loss of the right of withdrawal: For contracts on the supply of digital content, the right of withdrawal expires under § 356(5) BGB and Art. 16(m) of Directive 2011/83/EU once we have begun performance, after you have expressly consented to performance beginning before the end of the withdrawal period and have acknowledged that by giving such consent you lose your right of withdrawal upon the start of performance. By starting Pro content for the first time you give such consent.

7. Third-party services and content

The Service uses third-party services (Apple, Supabase, RevenueCat, AWS Polly, PostHog). Their terms and privacy notices apply to the extent they directly process your data — see Privacy Policy § 4.

8. Intellectual property

The App, vocabulary content, designs, logos, trademarks, and code are owned by RYTH UG (haftungsbeschränkt) or licensed to us. All rights not expressly granted are reserved. „Eloquentia” is our trademark.

9. Warranty

Statutory warranty rights for digital products under §§ 327 et seq. BGB apply. We warrant that the App conforms to the agreed characteristics and is fit for the contractually required purpose.

To the extent permitted by law, we make no warranty that the App will meet your learning goals or that synthesized audio is free of errors.

10. Liability
  • We are liable without limitation for damages caused by intent or gross negligence, for injury to life, body, or health, under the German Product Liability Act, and for breach of guaranteed characteristics.
  • For breaches of essential contractual obligations („cardinal obligations”) through slight negligence, our liability is limited to the typical, foreseeable damage.
  • Any further liability for slight negligence is excluded.

Mandatory statutory liability remains unaffected.

11. Termination

You may stop using the Service at any time and delete your account under Settings → Account → Delete account.

We may suspend or terminate access if you breach these Terms, attempt fraud, abuse the Service, or if we are legally required to do so. We will notify you where reasonably possible.

12. Changes to these Terms

We may amend these Terms. Material changes will be announced in the App and take effect 30 days after notice (immediately for purely new features). Continued use after the effective date constitutes acceptance. If you disagree, stop using the Service and delete your account.

13. Apple App Store notice

These Terms are between you and us, not Apple. Apple is not responsible for the App or its content. In case of conflict, the Apple Media Services Terms prevail. Apple is a third-party beneficiary entitled to enforce these Terms against you.

14. Governing law and jurisdiction

These Terms are governed by the laws of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.

For consumers habitually resident in the EU, mandatory consumer protection rules of their country of residence apply in addition (Art. 6 Rome I Regulation).

EU online dispute resolution platform: https://ec.europa.eu/consumers/odr. Notice under § 36 VSBG (Germany): we are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.

Place of jurisdiction for merchants is 64331 Weiterstadt, Germany, to the extent legally permissible.
